Dealership agreement:	Authorised Dealer Agreement Between City Numbers Ltd Whose registered offices are situated at:- 36 Warren House Walk Sutton Coldfield West Midlands B76 1TS Tel: 08453 666 555 Fax: 08453 666 556 and Enter Company Name Here Enter Address Here Terms & Conditions 1. Recitals City Numbers Ltd wishes to appoint Enter company name here as their non-exclusive dealer with respect to the provision of telephony services as defined in schedule 1. Such appointment is based upon the terms and conditions set out below. 2. Agreement Definitions In this Agreement the following terms shall have the following meanings:- “City Numbers” means City Numbers Limited. “Customer” means a customer introduced by the dealer to City Numbers. 3. Appointment City Numbers hereby appoints Enter company name here as their non-exclusive dealer for the sale of Telephony Services. For the avoidance of doubt, any contract for these services will be between City Numbers and the customer. 4. Duration This Authorised Dealer Agreement shall run for a period of one month, effective from the date both parties sign the Agreement, and will then renew automatically or until terminated by either party giving one month’s written notice. 5. Services The services available to the dealer are detailed in Schedules 1. City Numbers reserves the right to amend these services at any time. 6. Dealers Obligations Use its best endeavors to promote and extend the supply of services on the maximum possible scale by all usual means. Take all reasonable steps to ensure that potential customers are aware and notified that the Authorised Dealer is an independent dealer. The dealer must ensure prior to contract that the customer is aware of the relevant terms of business and that the service proposed is suitable for the customer requirements. The authorised dealer shall indemnify City Numbers against all claims and proceedings brought by any third party arising from the supply, installation and operation of the services detailed in schedules. 7. Commission For all introduced new business that is accepted by City Numbers from the dealer, a commission as detailed in schedule 1 will be paid. This will be based upon monthly revenues generated and will be paid monthly in arrears. These commissions will be paid on an ongoing basis for the duration of this agreement. City Numbers will endeavor to provide 30 days notice to any alterations in commissions as detailed in Schedule 1. These commissions are based upon standard tariffs, where bespoke tariffs are applied the commission rates may vary. No minimum threshold must be reached each month before payment is made. 8. Non-Competition For the duration of this agreement and for a period of nine months after its termination, the dealer undertakes to City Numbers that it will not directly or indirectly, entice or endeavor to entice away business that it has introduced to City Numbers. For the duration of this agreement and for a period of nine months after its termination, the dealer undertakes to City Numbers that it will not directly or indirectly, approach, entice or endeavor to entice away any officer, employee or consultant of City Numbers. 9. Confidentiality All parties undertakes to the other that it shall keep safe and procure that its directors and employees shall keep secret and confidential any information or material which it may have received or obtained in connection with the performance of this agreement. 10. Liability The dealer acknowledges that City Numbers excludes all responsibility with respect to any deficiency in the services and that City Numbers shall not under any circumstances be liable to the dealer or any other person for:- (a) Loss of profit (b) Indirect or consequential loss (c) Loss of Contract or Goodwill Suffered or incurred directly or indirectly by the dealer in respect of the services. 11. Termination Either party may terminate this agreement by giving one month’s written notice. Without prejudice to its other rights City Numbers shall be entitled to terminate this Agreement by seven (7) days written notice to the dealer:- (a) if the dealer is be guilty of fraud or misconduct, or (b) If the dealer ceases to trade, becomes bankrupt or goes into receivership. (c) Conducts itself in a way that is materially prejudicial to the interests of City Numbers. 12. Effects of Termination Upon termination of this agreement the dealer shall:- 1.) Immediately cease to portray itself as a dealer of City Numbers. 2.) Return any collateral or support material to City Numbers. 3.) Cease to receive any further commission payments. Additionally you are required to advise us immediately if your VAT Number is cancelled or amended or if you cease to trade. Schedule 1 Telephony Services 1) The provision of NGN services. The service consists of: 0871 Numbers, 0800 Numbers, 0844 Numbers, 0845 Numbers, 03 Numbers, Conferencing Services, Virtual City Numbers (01 and 02), International Toll Free numbers, International Local City Numbers and Website Design. • All customers delivered to us under this agreement will be eligible for a 15% recurring commission on their monthly bills. • Example commission payment:- 100 customers have 2000 phone numbers which bill £4000 per month (this includes rentals and call charges). Monthly commission for this would be £600. I HAVE READ AND AGREED TO THE TERMS AND CONDITIONS
