Dear Valued Customer,

Re: Notice of Assignment of Commercial Relationship with City Numbers Limited    

By means of this letter, we hereby notify you that, as part of an internal reorganization, all of your existing agreements (including any amendments and renewals thereto) and associated obligations with City Numbers Limited (the “Company”) and all the Company’s rights, title, interest and benefits in those agreement(s), including all the Company’s rights to bring claims under those agreements, will be assigned to and assumed by a group affiliate, ESW Technologies FZ-LLC (the “Transferee”), as of September 30, 2021 (the “Effective Date”). The Transferee a free zone limited liability company existing under the regulations of Dubai Development Authority and incorporated in Dubai Internet City, the United Arab Emirates, under license number 91770, having its registered office at 706, Al Thuraya Tower-1, P.O. Box 502091, Media City, Dubai, United Arab Emirates.

Please note that this assignment is part of a single assignment or series of assignments that we are undertaking to reorganise and simplify our group organizational structure (the “Reorganisation”). Aside from the Transferee replacing the Company as the contracting party of your agreement(s) with the Company in all respects, the Reorganisation will not modify any terms and conditions of your agreement(s) nor result in any disruption or modification of our products and services up to the Effective Date. The assigned agreement(s) will continue on its/their existing terms in all other respects. 

After the Effective Date, you should deal solely with the Transferee in respect of the assigned agreement(s) and all the invoices will be sent to you by the Transferee. Banking details for Transferee will be provided on your next invoice relating to the period following the Effective Date. 

Unless you inform us in writing within 30 days after the date of this letter, we will presume you agree with the content of this letter and therefore consent to the assignment of your agreement(s) with the Company to the Transferee, including the transfer of any and all obligations and rights related thereto.

This notice and any claim or dispute arising out of or in any way related to it or its implementation or effect shall be governed by and construed in accordance with the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction to hear and settle any claim or dispute which may arise out of or in connection with this notice.
